DECISION
GIVING APPROVAL FOR LIST OF PARTIALLY STATE-OWNED ENTERPRISES UNDERGOING DIVESTMENT UNTIL THE END OF 2020
PRIME MINISTER
Pursuant to the Law on Organization of Government dated June 19, 2015;
Pursuant to the Government’s Decree No. 91/2015/ND-CP dated October 13, 2015 on state capital investment in enterprises, use and management of capital and assets in enterprises;
Pursuant to the Government’s Decree No. 32/2018/ND-CP dated March 08, 2018 on amending and supplementing certain articles of the Government’s Decree No. 91/2015/ND-CP dated October 13, 2015 on state capital investment in enterprises, use and management of capital and assets in enterprises;
Pursuant to the Resolution No. 25/2016/QH14 dated November 09, 2016 of the National Assembly on the national 5-year financial plan in the 2016-2020 period;
Pursuant to the Resolution No. 25/2016/QH14 dated November 10, 2016 of the National Assembly on the medium-term public investment plan in the 2016-2020 period;
Pursuant to the Decision No. 58/2016/QD-TTg dated December 28, 2016 by the Prime Minister on criteria for classification of wholly state-owned enterprises and partially state-owned enterprises and the list of wholly state-owned enterprises undergoing restructuring in the 2016-2020 period;
Pursuant to the Decision No. 707/QD-TTg dated May 25, 2017 by the Prime Minister giving approval for the Scheme “Restructuring of state-owned enterprises with a focus on state-owned economic groups and corporations in the 2016-2020 period”;
At the request of the Minister of Planning and Investment,
HEREBY DECIDES:
Article 1.The “List of partially state-owned enterprises undergoing divestment until the end of 2020” is hereby given approval with the following contents:
I. OBJECTIVES
Speed up divestment of state capital in enterprises in which the State does not necessarily hold shares/stakes with assurance that revenues are conformable with the medium-term public investment plan in the 2016-2020 period; promote the restructuring of wholly state-owned enterprises in order to focus on key stages or sections of the economy.
II. CONTENTS
1. The following Appendixes are enclosed with this Decision, including:
- Appendix I: List of enterprises undergoing divestment and divestment percentage of partially state-owned enterprises until the end of 2020;
- Appendix II: List of partially state-owned enterprises undergoing restructuring and divestment under specific plans;
- Appendix III: List of enterprises that stop performing divestment until the end of 2020 for reviewing and developing the plan for restructuring and divestment in 2021-2025 period.
2. Divestment of enterprises affiliated to the Ministry of National Defence, the Ministry of Public Security, or Ho Chi Minh City People’s Committee, State Capital and Investment Corporation, Hanoi Beer Alcohol and Beverage Joint Stock Corporation, Vietnam Satellite Digital Television Co., Ltd. (VSTV), Vietnam Broadcasting Tower Investment Joint Stock Company and other enterprises which are not yet listed in this Decision shall comply with specific plans approved by competent authorities.
III. IMPLEMENTATION
1. Ministers, heads of ministerial agencies, heads of Governmental agencies and Chairpersons of People’s Committees of provinces and central-affiliated cities shall:
a) Organize the state capital divestment according to the approved progress and percentage as stated in Appendix I enclosed herewith in conformity with procedures prescribed by law and in a manner that ensures the openness, transparency, effectiveness and compliance with laws; assume the full responsibility before the Government, the Prime Minister and inspection agencies for divestment proposals and implementation results;
b) Develop the plan for restructuring and divestment for each of the enterprises listed in Appendix II enclosed herewith; by July 31, 2020, submit reports to the Prime Minister for consideration;
c) Organize the divestment according to the approved roadmap and assume responsibility to review and request competent authorities to consider giving approval (in case the divestment is not yet approved by competent authorities) by July 31, 2020 for the divestment of partially state-owned enterprises which are not listed in this Decision, ensure the percentage of state stakes as prescribed in Decision No. 58/2016/QD-TTg dated December 28, 2016 of the Prime Minister. Divestment from enterprises providing essential goods for people and local water supply enterprises shall not be performed by the end of 2020.
d) Promptly submit reports to the Ministry of Planning and Investment for consolidating and submitting to the Prime Minister for consideration and decision in case of failure to perform the divestment according to this Decision because of unfavorable market developments or objective reasons;
dd) Transfer the right to represent the state capital owner in enterprises subject to compulsory transfer according to the approved roadmap stated in Section III Appendix I enclosed herewith to State Capital and Investment Corporation. After receiving such transfer, State Capital and Investment Corporation shall organize divestment according to regulations herein;
e) Submit reports on the implementation of this Decision to the Steering Committee for Enterprise Restructuring and Development, Ministry of Finance, and Ministry of Planning and Investment by January 01, 2021 for consolidation, monitoring and reporting to the Prime Minister as prescribed.
2. Ministry of Construction shall:
Assume responsibility before the Government and Prime Minister for the compliance with law, openness and transparency during the divestment, ensure that the divestment shall be completed according to the roadmap and percentage of state capital divested from enterprises as approved herein.
3. Ministry of Planning and Investment shall:
Play the leading role and cooperate with Ministry of Finance and relevant agencies in consolidating results of implementation of this Decision; develop the plan for restructuring and divestment of state capital from enterprises in 2021 - 2025 period, and submit it to the Prime Minister for consideration in Quarter IV, 2020.
4. Ministry of Finance shall:
Play the leading role and cooperate and relevant agencies in implementing solutions for ensuring revenues from divestment of Ministries, ministerial agencies, Governmental agencies and State Capital and Investment Corporation are conformable with the Resolution No. 26/2016/QH14 dated November 10, 2016 of the National Assembly.
Article 2.This Decision comes into force as from the date on which it is signed and supersedes the Decision No. 1232/QD-TTg dated August 17, 2017 of the Prime Minister giving approval for the list of partially state-owned enterprises undergoing divestment in 2017 - 2020 period.
Article 3.Ministers, heads of ministerial agencies, heads of Governmental agencies, Chairpersons of People’s Committees of provinces and central-affiliated cities, Chairperson of the Board of Members of State Capital and Investment Corporation are responsible for implementation of this Decision./.
